IMPORTANT — PLEASE READ CAREFULLY. These Terms of Service, Disclaimer & Purchase Policy (the “Terms”) form a legally binding agreement between you (and, if applicable, the business you represent) and Navigator Risk Management, Navigator Risk Academy and Navigator Risk Coaching Compass. By purchasing, accessing, or using any of our books, courses, workshops, memberships, live sessions, or other educational products or services (collectively, the “Programs”), you agree to these Terms. THESE TERMS CONTAIN A MANDATORY BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER (SECTION 25) THAT AFFECT YOUR LEGAL RIGHTS, INCLUDING WAIVING YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. ALL SALES ARE FINAL AND NON-REFUNDABLE (SECTION 30). RESULTS ARE NOT GUARANTEED (SECTIONS 8–9). IF YOU DO NOT AGREE, DO NOT PURCHASE OR USE THE PROGRAMS. |
Who we are. The Programs are provided by Navigator Risk Management, LLC, doing business as Navigator Risk Academy and Navigator Risk Coaching Compass (“Navigator,” “we,” “us,” or “our”). “You” means the individual purchasing or using the Programs and any business on whose behalf they act. These Terms, together with our Privacy Policy, are the entire agreement between you and Navigator regarding the Programs.
PART I — TERMS OF SERVICE |
- Definitions
For purposes of these Terms, the following capitalized terms have the meanings below:
“Company” (also “Navigator,” “we,” “us,” or “our”) means Navigator Risk Management, LLC, doing business as Navigator Risk Academy and Navigator Risk Coaching Compass.
“Programs” means all educational products and services we offer, including Books, Digital Products, self-paced courses, Live Virtual Sessions, Workshops, Live Events, and Memberships, together with the related Materials.
“Materials” means all content comprising or provided through the Programs, including text, videos, workbooks, templates, tools, frameworks, designs, logos, and trademarks.
“Digital Products” means Programs delivered electronically, including self-paced online courses, downloadable Materials, and recordings (currently hosted on Zoho Trainer Central).
“Books” means printed or electronic publications sold by Navigator.
“Membership” means a recurring subscription Program providing ongoing access to content, community, or benefits until cancelled.
“Consulting Services” means individualized professional risk-management, advisory, or claims-advocacy services provided by Navigator only under a separate written engagement agreement. Consulting Services are expressly distinct from, and are not part of, the Programs.
“Workshop” means an instructional training session offered by Navigator, whether in person or virtual.
“Live Event” means an in-person conference, regional workshop, or training session hosted by Navigator.
“Certificate” means a certificate of completion or a certification issued upon satisfying the requirements of a particular Program.
“User” (also “you” or “your”) means any individual who purchases, accesses, or uses the Programs.
“Business Customer” means a business or other entity on whose behalf a User purchases or uses the Programs; a User purchasing for a business represents that they are authorized to bind that business to these Terms.
- Eligibility & Acceptance
The Programs are intended for adults age eighteen (18) or older and for businesses operated by adults. By purchasing or using the Programs, you affirm that you are at least eighteen years old and have authority to enter into these Terms on your own behalf and on behalf of any business you represent. The Programs are offered for use within the United States only (see Section 39).
- Educational Purpose Only
Our Programs — including books, self-paced online courses, live virtual sessions, in-person workshops, memberships, and related materials — are provided solely for general educational and informational purposes. They teach concepts, methods, and frameworks relating to business growth, sales strategy, leadership, risk management, insurance operations, commercial insurance, construction risk, workplace safety, claims management, business operations, executive coaching, and strategic planning. The Programs are not individualized advice and are not tailored to your specific circumstances. Navigator will use commercially reasonable efforts to provide the Programs substantially as described, subject to these Terms.
- Not Professional, Legal, Financial, or Insurance Advice
Nothing in the Programs constitutes legal, financial, tax, accounting, insurance, or other professional advice, and nothing in the Programs creates a broker-client, agent-client, advisor-client, attorney-client, or fiduciary relationship. Navigator is not acting as your insurance broker or agent through the Programs and does not place insurance, bind coverage, or provide brokerage services through the Programs. You should consult your own qualified, licensed professionals before acting on any information provided.
- Relationship to Navigator’s Professional Services
Navigator and its affiliates separately offer professional risk-management services — such as consulting and claims advocacy — to commercial clients. Those professional services are entirely separate from the Programs and are provided only under a separate, individually negotiated written engagement agreement. The distinction is intentional and material: the Programs (Risk Academy) teach principles; Navigator Risk Management consulting provides individualized recommendations. Each has different obligations, and the two are not interchangeable. Purchasing a Program does not entitle you to any professional service, does not create a consulting or brokerage relationship, and does not obligate Navigator to provide individualized recommendations. If you wish to engage Navigator for professional services, a separate written agreement is required, and that agreement — not these Terms — will govern it. Any consulting deliverables are limited to the scope expressly described in the applicable consulting agreement, and nothing in the Programs or Materials expands, modifies, or adds to the scope of any consulting engagement. Nothing in these Terms modifies, supplements, expands, or limits the rights or obligations contained in a separately executed consulting agreement.
- No Fiduciary or Other Relationship
Your purchase or use of the Programs does not create, and nothing in these Terms shall be construed as creating, any fiduciary duty, agency relationship, joint venture, partnership, franchise, employment, independent-contractor, recruiting, placement, hiring, employer-employee, or other special or confidential relationship between you and Navigator. Navigator’s sole role under these Terms is to provide educational content. You and Navigator are independent parties; neither has authority to bind the other, and neither assumes any obligation to the other beyond those expressly stated in these Terms.
- Your Independent Judgment & Responsibility
You remain solely and exclusively responsible for all business, financial, employment, operational, safety, contractual, insurance, regulatory, and strategic decisions you make before, during, or after participating in the Programs. Navigator does not make decisions for you, does not supervise or manage your business, and is not responsible for how you apply, or choose not to apply, any information from the Programs. You are responsible for exercising your own independent judgment and, where appropriate, for obtaining advice from your own qualified, licensed professionals. Any action you take based on the Programs is taken at your own discretion and risk.
- Individual Results Will Vary; Earnings & Outcomes Disclaimer
Every individual and business is different. Your results depend on many factors outside our control, including your own effort, skill, experience, market, and business circumstances. Navigator does not promise, guarantee, or warrant any particular result or outcome.
Without limiting the foregoing, Navigator makes no guarantee, representation, or warranty of any of the following, whether directly or indirectly resulting from the Programs: revenue; sales; commissions; insurance premium reductions; claim reductions or claim outcomes; a lower Experience Modification Rating (EMR/E-Mod); winning, retaining, or acquiring clients; OSHA compliance; regulatory or legal compliance; underwriting approval or favorable underwriting treatment; business growth; licensing or examination success; increased profitability; or any return on investment. These are outcomes a purchaser might reasonably associate with the subject matter of the Programs, and you expressly acknowledge that none of them is promised or guaranteed.
Any statements regarding income, revenue, sales, or results — including figures, examples, case studies, or references such as “$100,000 in 100 days” — are illustrative of a method and a potential path only. They are not a promise or guarantee of income and do not represent typical or average results. The average person who purchases educational or “how-to” information may achieve little or no result. Any financial figures referenced are estimates or projections and should not be considered exact, actual, or a promise of potential earnings. Any case studies, examples, or success stories are provided as educational illustrations only and are not a prediction or guarantee of your future results. You accept the entire risk of relying on the Programs.
- Industry-Specific Disclaimers
Because the Programs address insurance, risk, safety, and related subject matter, the following disclaimers apply in addition to the general disclaimers above:
9.1 Insurance.
Program content is educational and general in nature. It is not individualized insurance advice, does not constitute the sale or solicitation of insurance, and does not establish an insurance broker-client or agent-client relationship. Navigator does not place coverage or bind insurance through the Programs.
9.2 Legal.
Program content is not legal advice and does not create an attorney-client relationship. Consult a licensed attorney regarding your specific situation, contracts, and compliance obligations.
9.3 OSHA & Regulatory Compliance.
Program content and any certificate of completion do not certify, ensure, or establish OSHA, regulatory, or legal compliance. Compliance depends on your own facts, operations, and implementation.
9.4 Workplace Safety.
Safety training and materials are educational and do not replace site-specific safety evaluations, professional safety inspections, or the judgment of a qualified safety professional for your specific worksite or operations.
9.5 Risk Management.
Frameworks, tools, and templates are educational aids only. You remain solely responsible for evaluating, adapting, and implementing any risk-management approach for your business, and for the results of doing so.
9.6 Claims.
Program content does not guarantee any claim result, reserve outcome, or recovery, and does not constitute claims-handling, adjusting, or advocacy services (which, if offered, are provided only under a separate written agreement).
9.7 Audits, Investigations & Legal Proceedings.
Nothing in the Programs guarantees the outcome of any audit, investigation, inspection, claim, lawsuit, regulatory inquiry, insurance examination, OSHA inspection, governmental enforcement action, or other legal or administrative proceeding. Outcomes depend on facts, evidence, applicable law, and other factors outside Navigator’s control.
- No Reliance on Outside Statements
You acknowledge and agree that, in deciding to purchase or use the Programs, you are not relying on any statement, representation, promise, projection, or assurance that is not expressly set forth in these Terms — including any oral statement, sales or marketing message, webinar remark, testimonial, social-media post, or other informal communication. Any such statements are superseded by these Terms. These Terms, together with the Privacy Policy, are the complete and exclusive statement of the agreement between you and Navigator regarding the Programs.
- Assumption of Risk
By purchasing or participating in the Programs, you voluntarily assume the risks associated with implementing the educational concepts, strategies, and methods taught in the Programs. Business, sales, safety, insurance, and financial activities involve inherent risks, and outcomes depend on factors within your control. This provision complements, and does not replace or limit, the disclaimers and limitations elsewhere in these Terms.
- Compliance Responsibility
Nothing in the Programs relieves you of your responsibility to comply with all applicable federal, state, and local laws, regulations, licensing requirements, contractual obligations, and industry standards that apply to you and your business. You are solely responsible for determining and meeting those requirements.
- Account Registration; Access Credentials
Some Programs require an account. You agree that the information you provide is accurate and that you will keep it current. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Program access is personal to you (or the named licensed business) and may not be shared, transferred, or sold except as expressly permitted in Section 14.
- Intellectual Property & License to Use Materials
All Program content — including text, videos, workbooks, templates, tools, designs, logos, and trademarks (collectively, the “Materials”) — is owned by Navigator or its licensors and protected by U.S. and international intellectual-property and trade-secret laws. Subject to your compliance with these Terms and payment of all applicable fees, Navigator grants you a limited, non-exclusive, non-transferable, revocable license under which:
You MAY:
- Download and retain the Materials for your own ongoing reference and use, consistent with these Terms;
- Use the templates and tools internally within your own business, in your day-to-day operations; and
- Share the Materials with your own employees and direct reports under your supervision for internal business use, provided they are made aware of and comply with these Terms.
You MAY NOT:
- Sell, sublicense, license, rent, or otherwise commercially exploit the Materials, in whole or in part;
- Upload, post, or distribute the Materials publicly, or share them with anyone outside your organization (other than employees/direct reports as permitted above);
- Create competing courses, training, or derivative programs using or based on the Materials;
- Use the Materials to train, fine-tune, or develop any artificial-intelligence or machine-learning model, or input the Materials into any AI system except your own private, internal use that does not retain or reuse the content (see Section 15);
- Create derivative AI agents, custom GPTs, chatbots, or automated tools based on or incorporating the Materials, or upload the Materials into any corporate or shared knowledge base for redistribution;
- Clone, copy, or recreate the Programs or course content, in whole or in part, in any format or medium;
- Scrape, harvest, or extract videos or other Materials, or download Materials using bots, crawlers, or automated means;
- Record, screen-capture, or re-transmit live sessions or webinars without Navigator’s prior written permission;
- Translate the Materials into another language for commercial distribution without Navigator’s prior written permission; and
- Remove, obscure, or alter any copyright, trademark, or proprietary notice.
Resale, public redistribution, competing-course creation, cloning, scraping, and AI-training or AI-agent uses are strictly prohibited. All rights not expressly granted are reserved by Navigator. Navigator may register copyrights in the Materials and enforce its rights to the fullest extent of the law. The Materials may be used only for the internal benefit of your organization and may not be incorporated into any product or service offered to third parties without Navigator’s prior written permission.
- Artificial Intelligence — Content, Restrictions & Output
15.1 AI-Assisted Educational Content.
Some Materials may be created or edited with the assistance of artificial-intelligence tools. Navigator reviews such Materials for its purposes, but you remain responsible for independently evaluating all content before relying on it. Navigator reserves the right to use artificial intelligence to enhance educational content, provided such use is subject to human review prior to publication.
15.2 Restrictions on AI Use of the Materials.
You may not use the Materials to train, fine-tune, or develop any AI or machine-learning model, and you may not upload, ingest, or submit the Materials into any third-party AI system in a manner that stores, reuses, redistributes, or exposes the content, as further described in Section 14. For clarity, this does not prohibit your ordinary, private, internal use of AI productivity tools to summarize or work with the Materials for your own internal business purposes, provided such use does not retain the Materials for model training, does not make the Materials available to others, and does not redistribute them.
15.3 AI Output Disclaimer.
Any AI-generated tools, chatbots, or outputs made available through the Programs are provided for convenience and general information only, may be inaccurate or incomplete, and do not constitute professional, legal, financial, or insurance advice. Verify all outputs before relying on them. Navigator may update this AI policy as AI technologies evolve.
- Certificates of Completion & Certifications
Certain Programs may offer a certificate of completion or a certification upon satisfaction of the applicable requirements. Any such certificate reflects participation in or completion of a Navigator educational Program only. It is not a professional license or credential, does not authorize you to provide any professional service, does not establish OSHA or regulatory compliance, and does not represent accreditation by any governmental or third-party body unless expressly stated in writing. Navigator may set, change, or revoke the requirements for, and the status of, any certificate or certification. Without limiting the foregoing, Certificates do not: (a) authorize professional practice; (b) replace or satisfy any license; (c) establish competency; (d) create any employment right or expectation; or (e) satisfy continuing-education requirements unless expressly stated in writing. Navigator reserves the right to revoke any Certificate obtained through fraud, academic dishonesty, credential sharing, or violation of these Terms. Navigator may also discontinue any certification program at any time without creating any continuing obligation to maintain, renew, or replace the certification.
- User Conduct & Prohibited Uses
You agree to use the Programs and Materials lawfully and consistent with these Terms. You agree not to: (a) reproduce, distribute, or resell the Materials except as permitted in Section 14; (b) reverse engineer, scrape, or attempt to gain unauthorized access to any platform or account; (c) share access credentials except as permitted; (d) use the Programs to harass, defame, or harm others or Navigator’s reputation; (e) send spam or unsolicited communications; or (f) use the Programs in any unlawful manner or in violation of any applicable law or third-party right. Navigator may suspend or terminate access for any violation.
- Community Standards & Anti-Harassment (Memberships & Events)
Membership communities, live sessions, and events are professional environments. You agree to engage respectfully and lawfully, and not to harass, threaten, discriminate against, defame, or abuse any participant, instructor, or staff member, and not to post unlawful, infringing, or offensive content. Navigator may moderate, remove content, and suspend, remove, or ban — without refund — any participant who violates these standards. You also agree not to solicit Navigator’s instructors, staff, or members away from Navigator or its community for competing purposes.
By posting content within a Navigator community, forum, or group program, you grant Navigator a limited, royalty-free license to display, reproduce, and distribute that content within the community for operational purposes. You are responsible for the content you post and represent that you have the right to share it.
Group settings are not confidential. Unless separately agreed in writing, you should not disclose confidential, proprietary, or legally protected information — such as financial data, business plans, employee information, or specific claims details — during webinars, group coaching, workshops, or online communities. Navigator does not undertake any duty to maintain confidentiality regarding information voluntarily disclosed by participants in group settings unless separately agreed in writing.
- Testimonials, Reviews, Success Stories & Publicity Release
Navigator welcomes feedback and may publish client success stories, testimonials, reviews, case studies, before-and-after examples, and results (including revenue or performance figures you share) in its marketing, consistent with applicable FTC guidance on endorsements and testimonials. Any testimonials reflect individual experiences and are not typical or a guarantee of results. If you provide a testimonial or attend an event that is photographed or recorded (Section 38), you grant Navigator a perpetual, worldwide, royalty-free, irrevocable right to use, reproduce, edit, and display your name, likeness, image, voice, business name, and statements in any media for marketing and promotional purposes, without further compensation, notice, or approval. You represent that any statements you provide are truthful and reflect your genuine experience. Navigator may edit testimonials for length or clarity without materially altering their substance.
- Third-Party Platforms & Software
The Programs are delivered through third-party platforms and service providers — including, for example, Zoho Trainer Central (course hosting), WebinarJam (live sessions), and third-party payment processors. Your use of those platforms may also be subject to their own terms and privacy policies. Navigator does not control and is not responsible for the availability, performance, security, or acts or omissions of third-party platforms, and access to the Programs may depend on their availability. Navigator may change or replace technology providers at its discretion while maintaining substantially equivalent functionality, and may migrate Programs to another learning-management system or webinar platform without customer consent; such a change is not a breach of these Terms. Navigator is not responsible for third-party platform pricing changes, changes to third-party terms, or the removal of third-party features.
- Cybersecurity & Electronic Delivery
Navigator uses reasonable measures to operate the Programs, but no online platform or transmission is completely secure. Navigator does not warrant that the Programs, Materials, or communications will be free of interruption, loss, or unauthorized access, and Navigator is not liable for events outside its reasonable control, including ransomware, phishing, malware, credential theft, account compromise, or attacks on third-party platforms. You are solely responsible for protecting your own devices, accounts, and login credentials — including using strong, unique passwords, safeguarding access, and promptly notifying Navigator of any suspected unauthorized use. In the event of a security incident affecting your personal information, Navigator will provide any notice required by applicable law as described in our Privacy Policy.
- Disclaimer of Warranties
EXCEPT WHERE PROHIBITED BY LAW, THE PROGRAMS AND MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Navigator does not warrant that the Programs will be uninterrupted or error-free, that any content is complete, accurate, or current, or that any particular result will be achieved.
- Limitation of Liability
EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT WILL NAVIGATOR OR ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO THE PROGRAMS OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. If Navigator is nonetheless found liable, its total aggregate liability will not exceed the amount you actually paid to Navigator for the specific Program giving rise to the claim.
You agree to take reasonable steps to mitigate any claimed loss or damages. Navigator is not liable for any loss or damage to the extent it could have been avoided or reduced by your reasonable efforts.
- Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Navigator and its owners, directors, officers, employees, affiliates, contractors, and licensors from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Programs or Materials, your breach of these Terms, your violation of any law or third-party right, or your business activities.
- Dispute Resolution — Mandatory Binding Arbitration & Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS. Except where prohibited by law, you and Navigator agree that any dispute, claim, or controversy arising out of or relating to the Programs, the Materials, or these Terms will be resolved by final and binding individual arbitration, and not in court. There is no judge or jury in arbitration, and court review of an arbitration award is limited.
Before initiating arbitration, you agree to first contact us in writing at Info@navigatorrisk.com and attempt to resolve the dispute informally for at least thirty (30) days. The arbitration will be administered by a recognized arbitration provider — such as the American Arbitration Association (AAA) or JAMS — under its consumer/commercial rules, will take place in New York (or by videoconference), and will be governed by the Federal Arbitration Act. The arbitrator will apply the substantive law of the State of New York.
CLASS ACTION WAIVER. You and Navigator agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. If this class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and heard in a court of competent jurisdiction in New York.
This Section survives termination. You may opt out of this arbitration provision by written notice to Info@navigatorrisk.com within thirty (30) days of your first acceptance of these Terms; if you opt out, the governing law and venue in Section 26 will apply.
- Governing Law & Venue
These Terms and any dispute arising out of or relating to them or the Programs are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Subject to the arbitration provision in Section 25, any permitted court action will be brought exclusively in the state or federal courts located in New York, and you consent to the personal jurisdiction and venue of those courts.
- Copyright Notice & Takedown (DMCA)
If you believe content in a Program infringes your copyright, you may send a notice to our copyright agent at Info@navigatorrisk.com, Attention: Legal Department, with the information required by the Digital Millennium Copyright Act. We may remove allegedly infringing content and terminate repeat infringers.
- Reservation of Rights
Navigator reserves all rights not expressly granted under these Terms, including the right to modify, discontinue, suspend, replace, or improve any Program, feature, instructor, platform, service, or benefit at any time, provided such action is consistent with applicable law.
PART II — PURCHASE, PAYMENT & REFUND POLICY |
- General Purchase Terms
When you purchase a Program, you agree to pay all listed fees and applicable taxes. Prices are subject to change, but changes will not affect Programs you have already purchased. We use third-party platforms and payment processors to deliver Programs and process payments (see Section 20).
- All Sales Final — No Refunds
EXCEPT WHERE A NON-WAIVABLE REFUND OR CANCELLATION RIGHT IS REQUIRED BY APPLICABLE LAW, ALL SALES ARE FINAL. All purchases of Programs — including books, self-paced courses, live virtual sessions, in-person workshops, memberships, and all other products and services — are non-refundable and non-cancellable once purchased. By completing your purchase, you agree to this no-refund policy and agree not to initiate a refund request or chargeback that is inconsistent with it, including for Programs you do not access, complete, or use; nothing in this Section is intended to waive any non-waivable statutory or payment-card-network right you may have. You expressly consent to immediate access to digital Programs upon purchase and, to the extent permitted by law, waive any statutory cancellation or “cooling-off” right. This policy is presented to you before purchase and your acceptance is required to complete a purchase.
- Chargebacks & Payment Disputes
Before initiating a chargeback or payment dispute, you agree to contact Navigator at Info@navigatorrisk.com so we can attempt to resolve the matter. Because all sales are final (Section 30), a chargeback that contradicts these Terms is unsupported, and Navigator may contest it with documentation of your purchase and acceptance of these Terms. Navigator may suspend your access to the Programs during a payment dispute, and may recover any resulting fees and reasonable costs. Navigator reserves the right to submit these Terms, proof of acceptance, login records, course-access records, and other relevant documentation in response to any payment dispute. This Section is intended to operate consistently with applicable payment-processor and card-network rules.
- No Payment Plans
Programs are payable in full at the time of purchase. Navigator does not offer installment or payment-plan financing for Programs unless expressly agreed in a separate written agreement signed by Navigator.
- Failed or Missed Payments — Discontinuation of Access
For any recurring, membership, or subscription Program, you authorize Navigator (and its payment processor) to charge your payment method on the applicable schedule. If any payment fails, is declined, is reversed, or is not made when due, Navigator may immediately suspend or discontinue your access to the applicable Program and Materials without further notice, in addition to any other remedies. You remain responsible for amounts owed for periods already provided. Reinstatement of access, if any, is at Navigator’s discretion and may require payment of outstanding amounts.
- Subscriptions & Memberships; Auto-Renewal & Cancellation
Programs may be one-time purchases or recurring subscriptions or memberships. Subscription and membership Programs automatically renew for successive periods at the then-current rate until cancelled. Consistent with applicable automatic-renewal laws, the renewal terms are disclosed to you before purchase; you may cancel future renewals at any time through your account or by contacting Info@navigatorrisk.com before the next renewal date. Cancellation stops future charges but, consistent with Section 30, does not entitle you to a refund of amounts already paid. Access continues through the end of the paid period unless terminated for non-payment or breach.
- Digital Products & Course Access
Digital Programs (self-paced courses, downloadable Materials, and recordings) are licensed, not sold, and are subject to the license in Section 14. Access is provided through our hosting platform (currently Zoho Trainer Central) and may depend on that platform’s availability. Navigator may update, modify, or retire Program content over time. Purchasing a Program does not entitle you to any future version, update, upgrade, or additional content unless expressly stated at purchase. Downloaded Materials you retain remain subject to these Terms.
- Live Virtual Sessions
Live virtual sessions (for example, webinars and live coaching delivered via WebinarJam or a similar platform) are provided at scheduled times. Navigator may reschedule sessions, or substitute instructors, presenters, or content, without any such change constituting a breach of these Terms. Sessions may be recorded; by attending, you consent to being recorded and to Navigator’s use of the recording consistent with Sections 19 and 38. You may not record or re-transmit sessions without prior written permission (Section 14).
- Books & Physical Products
Physical products such as books are subject to the no-refund policy in Section 30. Risk of loss passes to you upon our delivery to the carrier. Any shipping timeframes are estimates only.
- Live Events & Workshops
Navigator hosts in-person events, including annual conferences, regional workshops, and periodic training sessions. Tickets and registrations are non-refundable and non-transferable except as expressly stated at purchase. Navigator may change an event’s date, location, format (including converting to virtual), speakers, presenters, instructors, or agenda, and any such substitution does not constitute a breach of these Terms. If an event is postponed or cancelled by Navigator — including for weather or a force-majeure event — our sole obligation, at our discretion, is to offer a comparable future event or a credit, not a cash refund, except where a refund is required by law. You are responsible for your own travel and accommodation costs.
38.1 Photography & Recording.
By attending any Navigator event, you acknowledge that the event may be photographed, filmed, and recorded, and that you may appear in such media. You grant Navigator the perpetual, worldwide, royalty-free, irrevocable right to use your name, likeness, image, and voice captured at the event for any marketing, promotional, educational, or commercial purpose, without further compensation, notice, or approval (Section 19).
38.2 Attendee Conduct, Badges & Recording Restrictions.
You agree to behave lawfully and professionally and to comply with the event code of conduct and health-and-safety requirements. Event badges are personal and non-transferable. You may not record or re-transmit event sessions without Navigator’s prior written permission. You agree to comply with all applicable venue safety rules, health-and-safety requirements, and reasonable event instructions. You remain responsible for your own health, medical care, and insurance while attending any event. Navigator may contact emergency medical services if reasonably necessary but assumes no responsibility for resulting medical costs. You are responsible for your own personal property, luggage, electronics, and vehicles; Navigator is not responsible for loss of or theft of personal property. Navigator may remove, without refund, any attendee whose conduct is disruptive, harassing, unlawful, or otherwise inconsistent with these Terms.
- United States Only
The Programs are intended for purchase and use within the United States only. Navigator does not target or offer the Programs to customers outside the United States and makes no representation that the Programs are appropriate or available for use outside the United States. If you access the Programs from outside the United States, you do so on your own initiative and are responsible for compliance with local laws and applicable U.S. export-control requirements.
PART III — PRIVACY, COMMUNICATIONS & GENERAL TERMS |
- Personal Information, Email & SMS Consent
To provide the Programs, we collect personal information such as your name, email address, phone number, webinar-registration details, and payment information (processed by a third-party payment processor), and — where you provide it — your SMS consent. Our collection and use of personal information is governed by our Privacy Policy, incorporated by reference. By providing your email address, you consent to receive Program-related and marketing emails. Separately, if you opt in to text messages, you consent to receive SMS from Navigator; message and data rates may apply, message frequency varies, and you may opt out at any time by replying STOP (or HELP for help). Marketing consent is not a condition of purchase, and transactional messages relating to your purchases may still be sent.
- Cookies, Analytics & Advertising
Navigator and its service providers use cookies, pixels, and similar technologies — including analytics tools and analytics and advertising tools such as Google Analytics, the Meta Pixel, and the LinkedIn Insight Tag — to operate and improve the Programs and to measure and deliver advertising, including retargeting/remarketing across third-party platforms. Your use of our websites and Programs constitutes consent to these technologies as described in our Privacy Policy and any cookie notice, except where additional consent is required by law.
- Electronic Communications & Signature
You agree that we may communicate with you electronically and that your electronic acceptance (for example, checking a consent box or clicking “I Agree,” “I Accept,” or “Submit”) has the same legal effect as a handwritten signature and constitutes your agreement to these Terms.
- Accessibility
Navigator is committed to making its Programs reasonably accessible. If you need an accommodation to access or participate in a Program, please contact us at Info@navigatorrisk.com and we will work with you in good faith to provide reasonable assistance.
- Data Retention & Access Revocation
Navigator retains personal information for as long as needed to provide the Programs and for legitimate business and legal purposes, as described in our Privacy Policy. Navigator may revoke or discontinue your digital access upon termination, non-payment, or breach, and upon the end of a subscription or membership term. Downloaded Materials you have retained remain subject to these Terms after access ends.
- Termination
Navigator may suspend or terminate your access to any Program or Materials at any time for violation of these Terms or non-payment. Sections that by their nature should survive termination — including disclaimers, limitations of liability, indemnification, intellectual-property, arbitration, and no-refund provisions — survive.
- Changes to These Terms
We may update these Terms from time to time by posting the updated version and revising the “Last Updated” date. Changes are effective when posted. Your continued purchase or use of the Programs after changes are posted constitutes acceptance of the updated Terms.
- Miscellaneous
No Waiver. Our failure to enforce any provision is not a waiver, and a customer’s continued use of the Programs after any accommodation, exception, or courtesy does not create a continuing right to receive similar accommodations in the future. Assignment. You may not assign these Terms without our consent; we may assign them freely. Force Majeure. Navigator is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, pandemics or epidemics, acts of terrorism, government actions or orders, cyberattacks, ransomware, data breaches, cloud-service or hosting outages, internet or telecommunications failures, utility interruptions, power outages, labor disputes or disruptions, and supply-chain failures. Following any such event, Navigator may reschedule, modify, or deliver the affected Programs or events through alternative means. Navigator may determine, in its reasonable discretion, whether an alternative delivery method provides substantially equivalent educational value. Severability. If any provision is held invalid, the rest remain in effect. Entire Agreement. These Terms and the Privacy Policy are the entire agreement regarding the Programs and supersede prior understandings; any separate written professional-services agreement governs that engagement.
